# ChopShift Platform Terms of Service

Welcome to ChopShift. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Merchant", or "Customer") and ChopShift Technologies ("ChopShift", "we", "us", or "our"), governing your access to and use of our restaurant point-of-sale software, digital menu QR ordering, kitchen display systems, and administrative consoles.

### 1. Acceptance of Terms
By creating an account, operating a restaurant workspace, or placing an order through a ChopShift QR code, website, or mobile application, you agree to comply with and be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the platform.

### 2. Services Provided
ChopShift provides cloud-based software solutions for the hospitality and food service industry, including:
- **Merchant POS & Workspace:** Order management, kitchen display systems (KDS), table session management, staff roles, and analytics.
- **Guest Digital Ordering:** Table-side QR menus, guest ordering, item customization, and digital bill settlement.
- **Payment Gateway Integration:** Payment collection facilitating credit/debit card and bank transfer transactions via licensed providers (Paystack and Flutterwave).

### 3. Merchant Obligations & Warranties
Every restaurant operator utilizing ChopShift represents and warrants that:
1. **Food Hygiene & Safety:** You hold all required governmental licenses, health inspections, and certifications necessary to prepare and sell food and beverages.
2. **Menu Accuracy:** All items, prices, descriptions, and allergen notices published on your ChopShift digital menu are accurate and up-to-date.
3. **Tax Compliance:** You are solely responsible for determining, collecting, reporting, and remitting statutory Value Added Tax (VAT), consumption taxes, and service charges to the applicable revenue authorities.

### 4. Ordering & Payments
1. **Payment Processing:** Payments made by guests are securely processed through third-party payment gateways (Paystack and Flutterwave). ChopShift does not store complete cardholder credit card numbers or CVV codes.
2. **Platform Commission:** ChopShift deducts the agreed platform processing take-rate commission fee from transactions before net settlement.
3. **Settlements:** Net balances are disbursed to the merchant’s registered bank account according to the selected settlement cycle (Daily T+1 or Weekly).

### 5. Intellectual Property
All software, trademarks, user interfaces, documentation, and proprietary algorithms comprising the ChopShift platform are the exclusive intellectual property of ChopShift Technologies. Merchants retain ownership of their proprietary logos, photos, and menu trademarks uploaded to the platform.

### 6. Limitation of Liability
To the maximum extent permitted by applicable law, ChopShift Technologies shall not be liable for any indirect, incidental, punitive, or consequential damages arising from:
- Food quality, allergen cross-contamination, or illness resulting from items prepared by merchants;
- Temporary system downtime, power outages, or payment gateway interruptions beyond our reasonable control;
- Unauthorized access resulting from merchant failure to safeguard credentials or two-factor authentication devices.

### 7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising hereunder shall be resolved through binding arbitration in Lagos, Nigeria.
